MONTHLY SERVICE PAYMENT TERMS

All monthly services (Hosting, SEO, Website Payment Installments) must be paid with a debit or credit card. An annual payment option is available with a 5% discount when paid up front, and may be paid with cash or check. Any applicable monthly services will begin either 1) when the new website is launched, 2) 90 days from the date of contract signature, or 3) as scheduled without website services.

PRODUCTION SERVICE PAYMENT TERMS

All one-time production service agreements (Website Packages, Brand Development, Digital Marketing Plans) are due in monthly installments as agreed in this contract.

$500 Deposit:Project deposit due within 7-days of estimate approval. Deposit is non-refundable.

Monthly Project Invoicing: Your project will be invoiced every 30-days, billing for the accumulated time tracked on your project.

AutoPay:We will automatically process the credit card you provide here to satisfy the monthly invoice.

CANCELLATION & LATE PAYMENT FEES

If the Requester wishes to cancel the project at any time before completion, the Requester is responsible for the reimbursement of the time and material costs incurred up to the point of the cancellation notice. Any payments made to VantagePoint Marketing, LLC. are non-refundable. Interest of 1.5% per month (18% annual, $5.00 minimum) may be charged on past due accounts. After 90 days, the requester is moved to COD status for a period of six months. At 120 days, the Requester’s account will be referred to an external collection agency. Clients 90-days behind on dues may have services withdrawn, or the website removed from servers.

ARTWORK RIGHTS

As a work-for-hire company, we transfer all rights to artworks resulting from contracted VantagePoint Marketing, LLC. time to the Requester upon full payment of the project. No additional artwork rights fees will be charged for the exchange.

WEBSITE MIGRATION & HOSTING RIGHTS

Requester has the right to migrate any website created by VantagePoint Marketing, LLC. to another server, provided there are no outstanding balances. Upon written request, VantagePoint Marketing, LLC. will provide the content management system admin login, providing the requester a 30-day full-access period for the website migration. It is the Requester’s responsibility to perform, or hire another company to perform, the website migration.VantagePoint Marketing, LLC. is not responsible for any issues that arise from the migration and is not obligated, though it can be hired by the minute, to assist in the process.

CONFIDENTIALITY AGREEMENT

All content, information, ideas, formats, methods, procedures, data, or other records that are disclosed between VantagePoint Marketing, LLC. and the Requester throughout the execution of this contract (“Confidential Material”) are considered private and confidential. The Confidential Material is made available in strict and complete trust and confidence. Neither VantagePoint Marketing, LLC. nor the Requester shall reproduce any Confidential Material, nor disclose any to third parties or use in any manner, except with prior written permission of the other party. Terms and conditions are agreed to upon the signing of this agreement.

LIMITATION OF LIABILITY

In no event shallVantagePoint Marketing, LLC., nor any of its offices, members, agents, employees, contracts or advisors, be held liable in contract or in tort (including; without limitation strict liability and negligence), or for any warranty, or upon any other legal or equitable ground, for any loss of use, profit or revenue, unpaid taxes, any loss or expense, direct or indirect, exemplary or other damages incurred or suffered in connection with VantagePoint Marketing, LLC. , this agreement, or any third-party services used.

GOVERNING LAW

Any dispute arising from this agreement shall be submitted to binding and confidential arbitration under the rules of the American Arbitration Association, to be held in the court of Anoka, MN. Any award issued as a result of arbitration is fully enforceable as a judgment in any court of competent jurisdiction. The prevailing party shall be entitled to recover attorney fees and costs.

ACCEPTANCE

Approving the proposed project estimate and submitting the project deposit hereby authorizesVantagePoint Marketing, LLC, to process monthly project payments until the credit card provided for approved services for the duration of the project, including applicable monthly hosting charges of $49/mo.  I certify that I am authorized to accept and approve this estimate and payments on behalf of the named company.
